Role Context
This role supports a high-velocity SPV factory reaching up to 200 entities annually across AI data centers, infrastructure, and technology platforms. There is no ramp period; the IRO must perform at full output immediately, converting complex financial engineering into investor commitments under extreme time constraints.
Non-Negotiable Performance Tests

  • Capital Stack Communication: Articulate the nuances of equity, preferred equity, and structured instruments to sophisticated investors.
  • Rapid-Response Support: Support capital raises with real-time revisions to investor materials based on market feedback.
  • Compliance Alignment: Ensure all investor communications are strictly aligned with Reg D structures and legal/tax requirements.
  • Investor Lifecycle Management: Manage high-volume investor inquiries across dozens of concurrent SPVs without cross-contamination.
Mandatory Screening Questions
Candidates must provide brief, precise, non-AI generated answers to be considered.
Must send response to walter.moss@waltermoss.com and walter.moss@gmail.com
Technical & Strategic Questions
  • What is your process for translating a 50-page PPM into a 10-slide "funding-ready" deck in under 8 hours?
  • How do you explain a complex IRR/MOIC waterfall to a skeptical investor without losing the narrative?
  • Describe the most difficult structural objection you’ve overcome during a Reg D capital raise.
  • How do you maintain data integrity and messaging consistency across 10+ active SPV raises simultaneously?
  • What specific metrics do you prioritize when presenting downside protection to institutional vs. HNW investors?
  • How do you handle an investor's request for a model revision in real-time during a pitch?
Operational & Ethics Questions
  • Are you prepared to operate at a volume of up to 200 SPVs per year with no ramp period?
  • Do you commit to non-antagonistic, non-confrontational professional conduct at all times?
  • Have you avoided roles that rely on information asymmetry or predatory investment practices?
  • Can you deliver investor-grade outputs on the first pass without needing iterative "hand-holding"?
  • Are you comfortable with a 100% success-aligned, project-based compensation model (no salary)?
  • Can you start work immediately upon engagement?
Must Have qualifications

  • High-Velocity Experience: Are you prepared to operate at a sustained transaction speed supporting up to 200 Special Purpose Vehicles (SPVs) annually with no ramp-up period?

  • Financial Narrative Expertise: Can you translate complex five-statement financial models and IRR/MOIC waterfalls into a compelling, executable narrative for sophisticated investors?

  • Technical Compliance: Have you worked directly with legal and tax teams to ensure all investor-facing materials align strictly with Regulation D (Reg D) structures?

  • Citizenship & Location: Are you a U.S. Citizen or Lawful Permanent Resident currently residing in the United States?

  • Compensation Alignment: Are you comfortable with a professional independent contractor engagement that offers high upside per project/SPV but includes no base salary?

  • Professional Conduct: Do you commit to non-antagonistic, non-confrontational, and non-dominance professional conduct at all times?
